(not a substitute for the legal terms below): You need an account to use Roadi. Don't break the law or abuse the service. Some features are in beta and may change. When paid plans launch, subscriptions will auto-renew unless you cancel; there are no refunds; you're responsible for applicable taxes. You own your content but grant us a limited license to operate the service. We can suspend/terminate for abuse. The service is provided "as-is"; our liability is limited. Disputes go to binding arbitration (with a 30-day email opt-out) under Washington law, with a small-claims carve-out and class-action waiver.
These Terms of Service ("Terms") govern your access to and use of the Roadi platform, apps, and websites (the "Services") provided by Roadi LLC ("Roadi," "we," "us," "our"). By creating an account or using the Services, you agree to these Terms.
If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms. (Roadi does not currently offer organization admin/seat management; each account is individual until we launch team features.)
We may modify or discontinue features (including beta/experimental features) at any time. We may update these Terms from time to time. If changes are material, we will provide reasonable notice (e.g., in-app or email). Continued use after changes take effect constitutes acceptance.
Free today; subscriptions coming soon. When paid plans launch, some features will require a paid subscription that auto-renews each billing cycle until canceled.
No refunds. All fees are non-refundable to the fullest extent permitted by law (including for partial periods or unused features).
Taxes. Prices exclude taxes; you are responsible for applicable taxes, duties, and government charges.
Payment Processor. Payments are handled by Stripe; you authorize us and Stripe to charge your payment method.
You agree not to:
We may throttle, suspend, or terminate access for abuse, security issues, or violations.
You own your content. To operate the Services, you grant Roadi a non-exclusive, worldwide, royalty-free license (with the right to sublicense to our service providers) to host, store, reproduce, process, transmit, display, and distribute your content solely to provide, maintain, secure, and improve the Services, and to create backups and logs. We do not sell your content.
You are responsible for obtaining any rights needed to upload and use your content within the Services, including permissions for third-party materials and personal data you submit.
The Services may include public or team-visible profiles (e.g., venues, promoters). If you publish information there, it may be visible to others.
If you provide ideas or suggestions, you grant Roadi a perpetual, irrevocable, worldwide license to use them without restriction or compensation.
The Services, software, and trademarks are owned by Roadi or its licensors and are protected by law. Except for rights expressly granted, no license is granted. Do not copy, modify, reverse engineer, or create derivative works of the Services.
Unless you email info@go-roadi.com to opt out, you authorize Roadi to use your name and logo to identify you as a customer on our site and marketing materials.
The Services may integrate with third-party services you choose to connect (e.g., Google Calendar) and rely on providers including Stripe (payments), Resend (email), Supabase (database/hosting), and Lovable (app platform). Your use of third-party services is governed by their terms. We are not responsible for third-party services. We may add new integrations in the future.
From time to time, you may access features identified as alpha/beta/preview/experimental. Those are provided as-is, may be unstable, may change or be discontinued without notice, and may not be covered by support or documentation. You assume all risk of using beta features.
Support is available via info@go-roadi.com. The Services are provided as-is with no uptime or performance SLA at this stage.
Our collection and use of personal information is described in the Roadi Privacy Policy (see go-roadi.com). By using the Services, you consent to that Policy.
We implement reasonable technical and organizational measures to protect the Services. If you discover a vulnerability or incident, email info@go-roadi.com.
These Terms remain in effect while you use the Services. You may cancel at any time in your account (when self-serve cancel is available) or by contacting info@go-roadi.com.
We may suspend or terminate access immediately for violations of these Terms, risk/security issues, non-payment (once paid plans launch), or where required by law.
Upon account closure, we will retain your data for 90 days (to allow restoration on request or as required by law). After that window, we may delete or anonymize data from active systems and backups in the ordinary course.
If you believe content infringes your copyright, email info@go-roadi.com with a DMCA-compliant notice. We will respond consistent with applicable law and may remove content or terminate repeat infringers.
YOU USE THE SERVICES AT YOUR OWN RISK. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS IS LIMITED TO THE FEES YOU PAID TO ROADI FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY (OR $100 IF YOU HAVE NOT PAID FEES). THESE LIMITATIONS APPLY TO ALL THEORIES OF LIABILITY.
Some jurisdictions do not allow certain exclusions/limitations; some of the above may not apply to you.
You will indemnify and hold harmless Roadi, its affiliates, and personnel from any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (i) your content; (ii) your use of the Services in violation of these Terms or law; or (iii) your infringement of third-party rights.
Roadi will indemnify you against third-party claims alleging that the Services, as provided by Roadi and used according to these Terms, infringe a U.S. patent, copyright, or trademark, or misappropriate a trade secret, and will pay damages and reasonable attorneys' fees finally awarded or agreed in settlement. Roadi's obligations do not apply to claims based on combinations with non-Roadi products, unauthorized modifications, or use after we notify you to stop due to a claim. For any claim, the indemnified party must promptly notify the indemnifying party, allow control of the defense, and reasonably cooperate.
Governing Law & Venue. These Terms are governed by the laws of Washington State, without regard to its conflict-of-laws rules. Subject to the arbitration clause below, courts in King County, Washington have exclusive jurisdiction.
Binding Arbitration. Any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules if applicable (or Commercial Rules otherwise). The seat of arbitration is King County, Washington. Either party may bring an individual action in small-claims court instead.
Class-Action Waiver. Disputes must be brought only in your and our individual capacity, not as a class action, class arbitration, or representative proceeding.
30-Day Opt-Out. You may opt out of arbitration by emailing info@go-roadi.com within 30 days of first accepting these Terms, stating your wish to opt out and your account email. Opting out does not affect other provisions.
You must comply with U.S. export, re-export, and sanctions laws. You may not use the Services if you are subject to sanctions or located in an embargoed jurisdiction.
We may send notices via in-app messages or email to the address associated with your account. You may send legal notices to info@go-roadi.com.
These Terms (and any order page/plan terms and incorporated policies, including our Privacy Policy) are the entire agreement between you and Roadi regarding the Services and supersede prior understandings. You may not assign these Terms without our consent; Roadi may assign to an affiliate or successor in interest. If any provision is unenforceable, the remainder remains in effect. Neither party is liable for delays caused by events beyond its reasonable control (force majeure). No waiver is effective unless in writing.
If you enter into a separately signed master agreement with Roadi (e.g., enterprise Terms, DPA, security addendum), that agreement controls to the extent of any conflict with these Terms.
